These Terms and Conditions govern your use of the Intellicryst Technologies website and our software, technology, development, consulting, cloud, AI, maintenance, and related professional services.

1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the Intellicryst Technologies website, services, software, technology solutions, communications, and related offerings.
By accessing our website, submitting an inquiry, engaging Intellicryst, approving a proposal, signing a project agreement, making a payment, or otherwise using our services, you agree to these Terms to the extent applicable to your interaction with us.
Individual projects may also be governed by proposals, quotations, statements of work, service agreements, purchase orders, invoices, support agreements, or other written documents. Where a project-specific written agreement conflicts with these general Terms, the project-specific agreement will generally control for that project to the extent of the conflict.
2. About Intellicryst Technologies
INTELLICRYST TECHNOLOGIES is a proprietary technology business operating from Maharashtra, India. Intellicryst provides technology and professional services that may include software development, web development, mobile application development, SaaS solutions, cloud engineering, DevOps, AI and machine learning, cybersecurity, UI/UX, APIs and integrations, IT consulting, hosting and deployment, maintenance and support, SEO and digital services, and related technology solutions.
3. Services and Scope
The exact services Intellicryst will provide depend on the applicable proposal, quotation, statement of work, communication, or project agreement. General descriptions of services on the website do not constitute a guarantee that every feature, technology, integration, platform, or service will be included in every engagement.
4. Project Scope and Requirements
Intellicryst will develop and deliver project work according to the agreed scope, requirements, assumptions, specifications, and deliverables.
Features or requirements not included in the agreed scope may be treated as change requests and may require additional time, development effort, or fees.
Verbal discussions, informal messages, or requests made after approval of a project may require written confirmation before being treated as a change to the agreed scope.
5. Client Responsibilities
The client is responsible for providing, where applicable:
- Accurate requirements and project information.
- Timely feedback, approvals, and decisions.
- Content, images, documents, trademarks, and other materials supplied by the client.
- Hosting, domain, DNS, email, cloud, app-store, and other accounts where client-owned accounts are required.
- API keys, credentials, licences, subscriptions, and third-party access required for the project.
- Legal rights and permissions for content, data, software, trademarks, and other materials supplied to Intellicryst.
- Testing and timely reporting of issues during development and acceptance.
The client represents that it has the necessary rights and authority to provide materials, data, instructions, and access to Intellicryst.
6. Client Delays and Non-Responsiveness
Project timelines depend on timely client cooperation. If a client fails to provide required information, approvals, credentials, content, feedback, payments, or other dependencies, Intellicryst may pause the project and the delivery timeline may be extended accordingly. If a client becomes unresponsive for a reasonable period, Intellicryst may suspend or stop active work until the client resumes communication. Additional work caused by prolonged inactivity, changed requirements, or project reactivation may be subject to revised timelines and fees.
7. Timelines and Delivery
Estimated delivery dates are based on the agreed scope, availability of required information, client responsiveness, third-party dependencies, technical complexity, and other project conditions. Unless a written agreement expressly states otherwise, estimated dates are not guaranteed deadlines. Intellicryst will make commercially reasonable efforts to progress projects according to the agreed plan.
8. Changes and Scope Creep
Requests that materially change approved requirements, designs, workflows, integrations, functionality, platforms, or deliverables may be treated as additional work. Intellicryst may provide a revised estimate, timeline, or quotation before performing such additional work. Intellicryst is not required to provide unlimited revisions or additional features without corresponding agreement on scope, time, and commercial terms.
9. Development, Testing and Acceptance
Clients are expected to review deliverables and provide reasonably prompt feedback. A feature or deliverable may be considered accepted when expressly approved, placed into production by the client, publicly used, or otherwise accepted according to the applicable project agreement. Minor cosmetic differences or issues outside the agreed scope do not automatically constitute failure to deliver the project.
10. Thirty-Day Bug-Fix Period
Unless a project agreement states otherwise, Intellicryst provides a 30-day post-delivery period during which genuine software defects caused by Intellicryst's implementation and falling within the agreed project scope may be corrected without additional development charges. This period does not cover new features, scope changes, third-party failures, client modifications, unsupported environments, misuse, infrastructure changes, or issues caused by external services.
11. Maintenance and Support
Ongoing maintenance, monitoring, updates, security patches, enhancements, technical support, hosting management, and other post-delivery services may be provided under separate commercial arrangements. Unless a separate service-level agreement ("SLA") applies, support is provided on a best-effort basis and Intellicryst does not guarantee uninterrupted availability or a specific response or resolution time.
12. Third-Party Services and Dependencies
Software projects may depend on services, APIs, libraries, platforms, cloud providers, payment gateways, communication systems, app stores, plugins, hosting providers, domain providers, operating systems, browsers, and other third parties.
Intellicryst may integrate such services where required by the project, but cannot guarantee that third-party services will remain available, compatible, secure, unchanged, or commercially accessible.
Third-party pricing changes, API changes, policy changes, deprecations, outages, restrictions, account suspension, service termination, security incidents, or other external events may require additional development work or changes to the project.
13. Client and Third-Party Modifications
Intellicryst is responsible for the work it develops and controls within the agreed scope and applicable warranty or support arrangements. However, Intellicryst is not responsible for failures, downtime, vulnerabilities, data loss, incompatibility, or other issues caused by unauthorized or undocumented changes made by the client, the client's employees, another developer, a third-party vendor, hosting provider, infrastructure provider, or other person outside Intellicryst's control. If such modifications affect a project, investigation, restoration, rollback, or remediation may be treated as additional work.
14. Downtime and External Events
Intellicryst will make reasonable efforts to maintain services under its direct control. However, downtime may occur due to hosting or cloud outages, DNS issues, domain expiration, SSL problems, third-party API failures, payment gateway failures, cyberattacks, network failures, operating-system changes, application-store decisions, infrastructure problems, client actions, or other events outside Intellicryst's reasonable control.
Intellicryst will not be responsible for downtime or failures caused solely or materially by such external events, particularly where Intellicryst does not control the affected system.
15. Hosting, Domains and Infrastructure
Where hosting, domains, cloud infrastructure, DNS, email services, SSL certificates, databases, storage, or other infrastructure are controlled by the client or another provider, the client remains responsible for maintaining valid accounts, subscriptions, credentials, billing, and access unless Intellicryst has expressly assumed those responsibilities under a separate agreement.
16. Security and Credentials
Clients are responsible for safeguarding credentials, API keys, passwords, account access, recovery methods, and other authentication information under their control. Intellicryst should be informed promptly if credentials are compromised. Intellicryst is not responsible for unauthorized activity resulting from credentials compromised, disclosed, reused, or mishandled outside its reasonable control.
17. Intellectual Property
Unless otherwise stated in a written project agreement, custom project deliverables specifically developed for a client will be transferred to the client after all amounts due for those deliverables have been paid in full.
Intellicryst retains ownership of its pre-existing intellectual property, reusable frameworks, libraries, generic components, templates, development tools, methodologies, know-how, internal systems, generic architectural patterns, and other technology not created exclusively for the client.
Where retained Intellicryst technology is incorporated into a client project, Intellicryst grants the client the rights reasonably necessary to use that technology as part of the delivered project, subject to applicable third-party licences and the project agreement.
18. Open-Source and Third-Party Software
Projects may contain open-source software, third-party libraries, SDKs, APIs, fonts, frameworks, plugins, or other externally licensed materials. Such materials remain subject to their applicable licences and terms. Intellicryst does not transfer ownership of third-party intellectual property that it does not own.
19. Portfolio and Promotional Use
Unless a written agreement expressly prohibits it, Intellicryst may identify completed work in its portfolio and marketing materials and may display reasonable screenshots, descriptions, or links for promotional purposes. Intellicryst will not intentionally disclose confidential information solely for portfolio purposes. Where a client requires confidentiality, the applicable agreement should expressly state the relevant restrictions.
20. Payments and Commercial Terms
Payment structures are determined on a project-by-project basis. Depending on the engagement, Intellicryst may use advance payments, milestones, monthly billing, hourly billing, retainers, fixed project fees, subscriptions, or other mutually agreed arrangements. The applicable quotation, invoice, proposal, or project agreement will determine the commercial terms for the relevant engagement.
21. Refunds
Intellicryst may provide a refund where development has not started, subject to the applicable commercial agreement and amounts already legitimately incurred.
If development or project work has already started and the client cancels the engagement, Intellicryst may calculate the value of work, time, resources, third-party costs, commitments, and deliverables already provided or incurred. Any eligible remaining balance may then be refunded according to the applicable project agreement.
Project-specific refund terms may replace these general principles where expressly agreed in writing.
22. Project Cancellation and Suspension
Either party may have cancellation or termination rights according to the applicable project agreement. Intellicryst may suspend work where payments are overdue, required information is unavailable, the client becomes unresponsive, project requirements materially change without agreement, or continued work would create legal, security, technical, or commercial concerns.
23. Confidentiality
Each party may receive confidential business, technical, financial, operational, or other non-public information from the other party. The receiving party should use reasonable care to protect such information and use it only for legitimate purposes connected with the business relationship, subject to applicable agreements and law. Information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law may not be treated as confidential solely because it was communicated during a project.
24. Data Protection
Personal information handled through Intellicryst's website or services may be processed in accordance with the Intellicryst Privacy Policy, applicable project agreements, and applicable Indian data-protection and information-technology laws. Clients are responsible for ensuring that data they provide to Intellicryst may lawfully be processed for the requested project and for providing appropriate instructions where Intellicryst processes data on their behalf.
25. Artificial Intelligence and Automated Systems
Intellicryst may develop or use AI, machine learning, automation, generative AI, third-party AI APIs, or related technologies.
AI outputs may contain inaccuracies, omissions, unexpected results, or third-party dependencies. Clients are responsible for reviewing AI-generated outputs before relying on them for business, legal, financial, medical, safety, regulatory, or other consequential decisions.
Third-party AI providers may change their models, APIs, pricing, availability, safety policies, output characteristics, or data processing practices. Such changes may require modifications to a project and may constitute additional work where applicable.
26. Security Testing and Cybersecurity
Where cybersecurity, penetration testing, vulnerability assessment, or security engineering is part of a project, the exact scope and testing boundaries will be determined by the applicable agreement. Intellicryst does not guarantee that any software or system will remain completely free from vulnerabilities, particularly where third-party infrastructure, dependencies, client modifications, or newly discovered vulnerabilities are involved.
27. App Stores, Platforms and External Approval
Where a project is intended for publication on an app store, marketplace, advertising platform, social network, payment platform, or other third-party service, Intellicryst may assist with technical submission requirements where included in scope. Final approval, continued listing, platform policy compliance, and account status remain subject to the relevant third party. Rejection, suspension, policy changes, or removal by an external platform is not automatically considered a failure by Intellicryst to deliver the technical project.
28. Prohibited and Unlawful Use
Clients may not knowingly use Intellicryst services to facilitate unlawful activity, fraud, unauthorized access, malware distribution, infringement of third-party rights, abuse of systems, or other prohibited activity. Intellicryst may refuse or suspend work where it reasonably believes a requested service would involve unlawful, abusive, unsafe, or materially unethical conduct.
29. Third-Party Links
The Intellicryst website may contain links to third-party websites or services. Such links are provided for convenience and do not constitute an endorsement or guarantee. Intellicryst is not responsible for third-party content, availability, security, policies, or practices.
30. Intellectual Property Infringement by Client Materials
The client is responsible for ensuring that materials, data, designs, images, trademarks, content, software, documents, and instructions supplied to Intellicryst do not unlawfully infringe third-party rights. If a client asks Intellicryst to use or reproduce material without appropriate authorization, the client remains responsible for obtaining the necessary rights and permissions.
31. Warranties and Service Quality
Intellicryst will use reasonable professional skill and care in delivering services within the agreed scope. Except where expressly stated in a written agreement, services are not guaranteed to produce a particular business result, revenue level, search ranking, conversion rate, user growth, security outcome, or uninterrupted availability. The 30-day bug-fix period described in these Terms or the applicable project agreement is the principal general implementation warranty for custom development unless otherwise agreed.
32. No Guarantee of Uninterrupted Service
Technology services inherently depend on networks, infrastructure, software dependencies, hardware, cloud platforms, third-party providers, security systems, and other components. Except where a specific written SLA provides otherwise, Intellicryst does not guarantee that any website, application, API, cloud environment, or software service will operate continuously or without interruption.
33. Limitation of Liability
To the maximum extent permitted by applicable law, Intellicryst will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, or data arising from or relating to the use of our website or services.
Intellicryst will also not be responsible for losses caused by third-party services, unauthorized modifications, client actions, compromised client credentials, external infrastructure failures, force majeure events, or circumstances outside Intellicryst's reasonable control.
Where permitted by law and subject to any non-excludable liability, Intellicryst's aggregate liability arising from a particular project will generally be limited to the fees actually paid to Intellicryst for the affected services during the applicable project or contractual period, unless the relevant written agreement provides otherwise.
34. Indemnification
To the extent permitted by applicable law, a client may be responsible for claims, losses, liabilities, costs, or expenses arising from materials, data, instructions, unlawful use, unauthorized content, infringement of third-party rights, or violations caused by the client's actions or omissions. The scope of any contractual indemnity may be further defined in the applicable project agreement.
35. Force Majeure
Intellicryst will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe infrastructure failures, internet or network outages, cyber incidents, government actions, legal restrictions, war, civil unrest, strikes, pandemics, utility failures, major cloud or platform outages, or failures of third-party providers.
36. Termination
A project or service may be terminated according to the applicable project agreement. Intellicryst may terminate or suspend services where continued performance would involve non-payment, unlawful conduct, serious security risk, material breach, prolonged non-responsiveness, misuse of services, or other material circumstances. Upon termination, the parties' rights concerning completed and paid deliverables, outstanding payments, confidentiality, intellectual property, liability, and other provisions intended to survive termination will continue as applicable.
37. Spiritual and Humanity-Focused Project Initiative
Intellicryst supports technology initiatives connected with spirituality, devotion, religious education, service to humanity, humanitarian values, and projects intended to promote constructive spiritual or human welfare purposes.
Intellicryst may provide a discount of up to 20% on development fees for qualifying projects. Eligibility is determined by Intellicryst based on the nature, purpose, scope, and circumstances of the proposed project.
The initiative may be combined with other discounts or commercial offers where Intellicryst expressly approves such combination. The discount applies to development fees only unless otherwise agreed in writing and does not automatically apply to third-party costs, hosting, infrastructure, licences, subscriptions, domain fees, payment-provider charges, or other external expenses.
Intellicryst reserves the right to modify, suspend, or discontinue this initiative for future engagements. Any discount expressly confirmed in writing for an active project will be governed by the terms of that project agreement.
38. Changes to These Terms
Intellicryst may update these Terms from time to time to reflect changes in our services, business practices, technology, or legal requirements. Updated Terms will be published on this page with a revised "Last Updated" date. Existing project agreements will continue to be governed by their applicable written terms unless the parties expressly agree otherwise.
39. Governing Law and Jurisdiction
These Terms are governed by and interpreted in accordance with the laws of India. Subject to any mandatory jurisdiction prescribed by applicable law, courts located in Mumbai, Maharashtra, India shall have jurisdiction over disputes arising from or relating to these Terms or services provided by Intellicryst.
40. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue to operate to the extent permitted by law.
41. No Waiver
A failure by Intellicryst to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision later.
42. Entire Agreement
These Terms, together with the applicable Privacy Policy and any project-specific agreement, proposal, quotation, statement of work, or other written commercial document, constitute the applicable understanding between the parties concerning the relevant services. Project-specific written terms may supplement or replace portions of these general Terms for that engagement.
43. Electronic Acceptance
Where permitted by applicable law, electronic acceptance, email confirmation, digital approval, online acceptance, payment, or commencement of services may constitute evidence of agreement to applicable terms, subject to the specific contractual arrangement between Intellicryst and the client.
